Change of Auditor

Update regarding Report and Accounts

GSTechnologies Limited (LSE: GST), the fintech company, announces the appointment of RPG Crouch Chapman LLP ("RPGCC") as auditor to the Company with immediate effect.

The appointment of RPGCC follows Moore Kingston Smith LLP ("MKS") resigning as the Company's auditor on 12 August 2025.  MKS resigned following a review of their audit portfolio risk profile and their decision to exit assignments with listed clients which involve cryptocurrency trading and assets.  MKS are therefore unable to complete the final audit process of the Company's consolidated financial statements for the year ended 31 March 2025 ("FY25").  MKS became the Company's auditor in May 2025 following the merger of Shipleys LLP, the Company's then auditor, with MKS.

MKS have confirmed that there are no circumstances connected with them ceasing to hold office as the Company's auditor which they consider should be brought to the attention of the Company's members or creditors.  They have confirmed that the Company's consolidated financial statements for FY25 are in good and proper order, and are fit for review and finalisation by RPGCC, with whom MKS will cooperate with to ensure a smooth handover of the audit work done so far.  The Company is working closely with RPGCC to ensure that the Company's audited report and accounts for FY25 is published as soon as possible and will request a restoration of its listing once published. 

Notwithstanding the temporary suspension of the Company's listing from the Official List and from trading in the Company's ordinary shares, the Company will continue to make announcements as required under the UK Listing Rules and UK Market Abuse Regulation (UK MAR).
